  • He worked as a Manager at Ernst & Young (EY), Transaction Advisory Services, Valuation & Business Modeling, working on consulting projects for mining companies, a car insurance company, a senior center, etc.
  • He worked as an Internal Audit Manager at KGHM International, a medium mining company with operating mines in Canada, the US, and Chile. Marek assisted the company, improving various business processes.

Polish credentials

  • Marek served as the Chair of the Audit Committee of the Supervisory Board (Board of Directors) at KGHM Polska Miedź SA, a large mining company and Interferie SA (one of the largest hotel/resort networks in Poland).
  • He prepared and delivered business plans to small and medium-sized entrepreneurs, assisting them in their successful fundraising.
  • As a senior management consultant at A.T. Kearney Poland, Marek advised an asset management company and mutual fund during a period of unprecedented growth.
  • He was a member of an advisory team, guiding two managers through a lengthy and complex management buyout (MBO) process. Under the new structure, they were able to retire a transaction debt within just three years.

Independent non-executive director (NED)

The Toronto Stock Exchange (TSX) requires a listed corporation to have at least two independent directors. For this purpose, an independent director is a person who:

  • is not a member of management and is free from any interest and any business or other relationship that could reasonably be perceived to materially interfere with the director’s ability to act in the best interest of the corporation
  • is a beneficial holder, directly or indirectly, or is a nominee or associate of a beneficial holder, collectively of 10 per cent or less of the votes attaching to all issued and outstanding securities of the corporation.

Internal audit function setup and development

Internal auditing is an independent, objective assurance and consulting activity designed to add value and improve an organization’s operations. It helps an organization accomplish its objectives by bringing a systematic, disciplined approach to evaluate and improve the effectiveness of risk management, control, and governance processes (Institute of Internal Auditors).

An internal audit activity provides assurance to management and an internal audit committee that risks to an organization are understood and managed appropriately. Additionally, it serves as an in-house consultation on many areas of interest.

An internal audit serves as a third-line of defense within an organization’s internal control framework. It provides independent, objective assurance and advise on activities that improve an organization’s operations and add value to the board of directors and senior management, who are positioned as a first-line of defense.

Marek sets and develops an internal audit function at publicly-held and private-held companies, following best practices established by the Institute of Internal Auditors.
